Terms of Service
1. Agreement to terms
These Terms of Service ("Terms") are a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Usermaven Inc., a Delaware corporation ("Usermaven," "we," "us," or "our"). They govern your access to and use of the https://usermaven.com website and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected to it (collectively, the "Site"), and the services, features, and content we offer (the "Service").
By accessing or using the Site or the Service, accepting an invitation to an Account, or signing, accepting, or paying for an Order Form, you agree to these Terms. If you do not agree with all of these Terms, you must not use the Site or the Service.
The Service is intended for business use only. By accepting these Terms or an Order Form, you confirm that you are acting for the purposes of your trade, business, or profession and not as a consumer.
If you accept these Terms on behalf of an organization, you confirm that you have authority to bind that organization, and "you" means that organization. The person or organization that signs or accepts an Order Form for an Account, or that otherwise holds an Account, is the "Customer". The Customer is responsible for the Account, its Content, and all Fees.
If you join an Account by invitation, you accept these Terms for your own use of the Service as an Authorized User. You do not become the Customer, and only the Customer can purchase, change, or cancel the subscription for that Account.
We may update these Terms from time to time. When we do, we will update the "Last updated" date above. For material changes, we will give Account owners reasonable advance notice by email or in the Service. Changes do not alter the Fees, usage limits, or Subscription Term in an Order Form that has already been signed or accepted, until the end of the Subscription Term that is current when the change takes effect. If you continue to use the Service after updated Terms take effect, you accept them.
2. Definitions
- "Account" means the account through which the Customer and its Authorized Users access the Service.
- "Account owner" means the Customer's primary administrator, as named in the Order Form or in the Account settings.
- "Authorized User" means an individual whom the Customer or Usermaven invites to use the Customer's Account.
- "Content" means any data, text, information, graphics, or other materials submitted, collected, posted, or displayed by you or on your behalf through the Service, including data collected from your websites and applications.
- "Customer" has the meaning given in section 1.
- "DPA" means Usermaven's Data Processing Agreement described in section 11.
- "Evaluation Access" has the meaning given in section 4.
- "Fees" means the amounts payable for the Service, as set out in an Order Form or, for a Self-Serve Subscription, at the time of purchase.
- "Implementation Services" means onboarding, setup, or implementation services described in an Order Form.
- "Order Form" means an order form, quote, or similar document issued by Usermaven that sets out the Service, usage limits, Fees, and Subscription Term, and that you sign or accept in writing (including electronically) or accept by paying the Fees stated in it.
- "Self-Serve Subscription" means any plan or subscription bought, redeemed, or received without an Order Form, including through an online checkout on the Site or in the Service, a lifetime deal, a marketplace or partner code, or a promotional offer.
- "Subscription Term" means the initial subscription period stated in an Order Form (or, for a Self-Serve Subscription, its Billing Cycle) and each renewal period. The "current" Subscription Term is the one in progress.
3. Accounts and access
New Accounts are created by Usermaven, or joined through an invitation sent by Usermaven or by an administrator of an existing Account. Invitation links are personal to the person invited, may be used only once, and may expire. Do not forward or share them.
You agree to provide accurate, current, and complete information when you set up or use your Account, and to keep that information up to date.
The Customer is responsible for safeguarding passwords and other access credentials, for all activity that occurs under its Account, and for making sure its Authorized Users comply with these Terms. You agree to notify us immediately at support@usermaven.com of any unauthorized use of your Account. We are not liable for any loss or damage arising from a failure to comply with these obligations.
4. Demos, pilots, and evaluation access
We do not offer free trials. We may, at our discretion, give you free access to a demo, pilot, evaluation, or other version of the Service ("Evaluation Access"). A paid pilot is purchased through an Order Form. A free trial that started before October 1, 2026 is Evaluation Access; it continues until its scheduled end date and then ends unless you sign an Order Form.
Evaluation Access:
- is provided only so that you can evaluate the Service;
- may be limited, changed, suspended, or ended by us at any time, with or without notice; and
- is provided "as is" and "as available", without any warranty, support commitment, or service level.
To the fullest extent permitted by law, our total liability arising from or relating to Evaluation Access is limited to USD 100.
When Evaluation Access ends, the workspace may become read-only. We keep the workspace and its Content for a limited period, so that it is available if you become a customer, and then delete it as described in the DPA. You can ask us to delete it sooner at any time by emailing support@usermaven.com or privacy@usermaven.com. You are responsible for removing any Usermaven tracking code from your websites and applications when your access ends. Until you do, we may continue to receive that data, and we may store it in, or block it from, your workspace.
5. Ordering
5.1 Order Forms. New subscriptions are purchased through an Order Form after a conversation with our team. Prices are set out in the Order Form and are not published on the Site. Each Order Form sets out the Service you are purchasing, your usage limits (such as events, workspaces, and seats), any add-ons and Implementation Services, the Fees, and the Subscription Term.
5.2 When the contract starts. An Order Form becomes binding when both you and Usermaven have signed or accepted it. You accept an Order Form by signing it or by paying the Fees stated in it. Usermaven accepts an Order Form by signing it, by confirming it in writing (including by email), or by starting to provide the Service under it. An Order Form that you have not accepted by the expiry date stated in it, or within 30 days after we issue it if no expiry date is stated, lapses, and paying it after that does not bind us. The Subscription Term starts on the start date stated in the Order Form or, if none is stated, on the date the Order Form becomes binding. The contract covers only the items set out in that Order Form.
5.3 If we cannot start the Service. If, after an Order Form becomes binding, we decide not to start providing the Service it covers, we will tell you and refund any Fees you have paid under that Order Form. We may decline to issue or accept an Order Form for any lawful reason.
6. License to use the Service
Subject to your compliance with these Terms and, where Fees apply, payment of the Fees, Usermaven grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your Subscription Term or any period of Evaluation Access, for your internal business purposes, and within the usage limits in your Order Form or Self-Serve Subscription.
If you are an agency or other service provider, you may also use the Service to provide services to your own clients, including through white-label features where your Order Form includes them. You are responsible for your clients' use of the Service, and for having all rights and permissions needed to collect and process your clients' data with the Service.
7. Acceptable use
By using the Service, you agree on behalf of yourself, your Authorized Users, and any other parties you represent that you will not:
- Modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on the Site or provided through the Service.
- Remove any copyright or other proprietary notations from any materials and software, except where white-label features included in your Order Form allow you to change or remove Usermaven branding.
- Transfer the materials to another person or "mirror" the materials on any other server.
- Knowingly or negligently use the Service in a way that abuses or disrupts our networks, user accounts, or the Service itself.
- Use the Service to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material.
- Use the Service in violation of any applicable laws or regulations.
- Use the Service to send unauthorized advertising or spam.
- Harvest, collect, or gather user data without the consent or other legal basis required by applicable law.
- Use the Service in a way that infringes on the privacy, intellectual property rights, or other rights of third parties.
- Share Account credentials or invitation links, or allow anyone other than Authorized Users to access an Account.
- Attempt to get around the Service's usage limits, security, or access controls.
- Access or use the Service to build or support a competing product or service.
- Send special categories of personal data or other sensitive personal information to the Service, unless doing so is necessary, lawful, properly disclosed to the individuals concerned, and agreed with us in writing.
8. Fees and payment
This section applies to subscriptions purchased under an Order Form. Sections 8.3 (Taxes), 8.4 (Late payment), and 8.5 (Payment processing) also apply to Self-Serve Subscriptions. Section 9 contains the other terms for Self-Serve Subscriptions.
8.1 Fees. You agree to pay the Fees set out in your Order Form. Recurring Fees are billed in advance for each billing period (for example, monthly or annually) stated in your Order Form. An annual subscription is paid in advance for the full year, unless your Order Form says otherwise. Unless your Order Form says otherwise, Fees are stated and payable in US dollars.
8.2 Payment. You agree to pay each invoice by the due date stated on it or in your Order Form. If no due date is stated, payment is due within 7 days of the invoice date. We may give you access to the Service before the first payment is received. Access given before payment does not change the due date or your obligation to pay. If you pay by card or through a payment link, you authorize us, or our reseller, to charge the Fees due under your Order Form and these Terms, including overage and renewal Fees, for each billing period until your subscription is cancelled. If you pay by bank transfer, you pay your own bank charges and any intermediary bank charges, so that we receive the full invoiced amount. We will never change our bank details by email alone. Before paying to new bank details, confirm them with us by phone or video call. A payment sent to an account we have not confirmed does not count as payment.
8.3 Taxes. Fees do not include taxes. You are responsible for any sales, use, value-added, goods and services, or similar taxes that apply to your purchase, other than taxes based on our income. Where we or our reseller are required to collect taxes, they will be shown on your invoice.
8.4 Late payment. If any amount is overdue, other than an amount you dispute reasonably and in good faith in writing before its due date, we may suspend your access to the Service until it is paid, after giving you at least 10 days' notice. If the first payment for a new subscription is not received by its due date, we may suspend access immediately until it is paid. Suspension does not affect your obligation to pay amounts due.
8.5 Payment processing. Payments are processed by our authorized reseller, Paddle.com, or by another payment provider we tell you about, or are paid directly to Usermaven where your invoice says so. Where Paddle.com processes your order, it acts as the reseller and merchant of record for that transaction, and Paddle's buyer terms (https://www.paddle.com/legal/buyer-terms) also apply to the payment.
8.6 Usage limits and overages. Your Order Form sets your usage limits, such as monthly events, workspaces, and seats. If your usage exceeds those limits, we may notify you and invoice overage at the rates stated in your Order Form or, if your Order Form states no overage rates, ask you to agree an updated Order Form. If we cannot agree an updated Order Form within 30 days of our request, we may restrict usage above your limits.
8.7 Renewal and price changes. Unless your Order Form says otherwise, your subscription renews automatically at the end of the current Subscription Term for a further period of the same length as the initial period, unless you or we give notice of non-renewal before the current Subscription Term ends. We may change the Fees for any renewal period by notifying you at least 30 days before that renewal period begins.
8.8 Cancellation. The Customer may cancel its subscription at any time by emailing support@usermaven.com from the Account owner's email address, by notifying its Usermaven account manager in writing, or through any cancellation option available in the Account. Unless your Order Form says otherwise, cancellation takes effect at the end of your current billing period. Your access continues until then, and no further recurring Fees will be charged after that date. If your Order Form states a minimum or committed term, cancellation takes effect at the end of that term, and Fees for the rest of that term remain payable even if they are billed in instalments.
8.9 Implementation Services. If your Order Form includes Implementation Services, we will provide the services it describes. You agree to give us timely access, information, and cooperation, such as access to your website, CRM, and advertising accounts. Implementation fees are one-time fees, billed as stated in your Order Form. If a delay caused by you lasts more than 30 days, we may pause the Implementation Services and resume them when you are ready, subject to our availability. Implementation fees remain payable during a pause.
8.10 Refunds. Except where required by law or expressly stated in your Order Form, Fees are non-refundable. This includes cases where you cancel, stop using the Service, or do not use all of your usage limits. Implementation fees are non-refundable. Section 5.3 applies if we do not start the Service. Our reseller may issue refunds under its own buyer terms. If any payment is refunded, reversed, or charged back, we may suspend or end the Service for the period that payment covered.
9. Self-Serve Subscriptions
This section applies only to Self-Serve Subscriptions. Your plan, price, and usage limits do not change because of these Terms, and the terms below continue to apply until you move to an Order Form. A copy of the terms that applied when you bought is available on request from support@usermaven.com. If anything in this section conflicts with sections 8.3 to 8.5, this section applies to your Self-Serve Subscription. Apart from overage charges and upgrades under section 9.2, we will give you at least 30 days' notice before we change the price of a Self-Serve Subscription. For a lifetime deal or other one-time-payment plan, the limits and terms of the offer you bought or redeemed continue to apply in place of sections 9.1 to 9.5.
9.1 Billing. Self-Serve Subscriptions are billed in advance on a recurring and periodic basis ("Billing Cycle"), either monthly or annually, depending on the plan you selected.
9.2 Event-based usage and overages. Your plan includes a specified monthly limit of events. If your event volume exceeds your plan's limit during any billing period, overage charges will be applied automatically on top of your base subscription fee, and your subscription may be automatically upgraded to the equivalent tier that accommodates your usage volume.
9.3 Automatic renewal. Your subscription automatically renews at the end of each Billing Cycle for a period equal to the original subscription term, unless you cancel it before the renewal date.
9.4 Cancellation. You may cancel at any time by either:
- Logging in to your Account, navigating to the "Settings" menu, and following the cancellation process, or
- Sending a cancellation request from the Account owner's registered email address to our support team or through the support system.
If you cancel before your current paid Billing Cycle ends, your service remains active until that cycle ends, and no further charges will be applied. No prorated or partial refunds are provided for the unused portion of the cycle.
9.5 Refunds for Self-Serve Subscriptions.
- Money-back guarantee: For first-time subscribers only, we offer a 14-day money-back guarantee starting from the date of your initial paid subscription. If you are not satisfied for any reason within this period, contact our support team at support@usermaven.com to request a refund. Refund requests made after the 14-day window of your first charge are not eligible for consideration.
- Accidental renewal: If you forgot to cancel your subscription and send us a refund request within 7 days following the most recent charge, we may offer a full refund for that most recent billing cycle only. This exception applies solely to the latest charge and does not entitle you to refunds for previous billing cycles or extended periods of non-use.
- No partial refunds: We do not offer refunds for partial, unused, or remaining terms of subscriptions. For example, if you decide to stop using the Service after 3 months of an annual plan, you are not eligible for a refund of the remaining 9 months.
- Discount adjustments: If your subscription included a discount based on payment frequency (e.g., annual plans), any refund approved will be calculated without applying that discount to the refunded amount. In certain cases, we may charge a reasonable administrative fee when processing refunds.
- Refund processing: All refunds will be processed using the original method of payment.
10. Confidentiality
Each party may receive non-public information from the other that is marked as confidential or that a reasonable person would understand to be confidential ("Confidential Information"). Usermaven's Confidential Information includes the pricing and commercial terms of your Order Form and any non-public plan, proposal, or pricing pages we share with you.
The receiving party will use the other party's Confidential Information only to perform its obligations or exercise its rights under these Terms. It will not disclose that information to anyone except: (a) its and its affiliates' employees, contractors, service providers (including subprocessors and payment resellers), and professional advisers who need to know it for the purposes of these Terms and are bound by confidentiality or data protection obligations; (b) actual or prospective acquirers, investors, or lenders who are bound by a written confidentiality obligation; (c) as permitted by the DPA; or (d) where disclosure is required by law.
Confidential Information does not include information that is or becomes public through no fault of the receiving party, that the receiving party already knew or developed independently, or that it lawfully received from a third party without a duty of confidentiality.
11. Your data and privacy
You are responsible for your Content and for how it is collected. This includes giving any notices and obtaining any consents that applicable law requires from visitors to and users of your websites and applications, for example for cookies and similar tracking technologies.
When we process personal data contained in your Content, we do so as your processor or service provider under our Data Processing Agreement at https://usermaven.com/dpa ("DPA"). The DPA forms part of these Terms and applies automatically, including during Evaluation Access. You do not need to sign it. To request a countersigned copy, email privacy@usermaven.com.
Our Privacy Policy explains how we handle personal data as a controller, for example for our website, sales, and account administration. It is not part of this agreement.
12. Intellectual property rights
The Site, the Service, and all original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Usermaven Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Usermaven Inc.
If you give us suggestions or feedback about the Service, we may use them without any obligation to you.
13. Your Content
You retain all your rights to your Content. You grant Usermaven a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and otherwise use your Content as needed to provide, maintain, secure, and support the Service for you, and to let our service providers do so on our behalf, as described in the DPA. This license lasts for as long as we hold your Content.
We may also collect and use data about how the Service is accessed, used, and performs, which does not include your Content, to operate, secure, and improve the Service.
You represent and warrant that you own or have the necessary rights to your Content, and that our use of it under these Terms does not violate any law or the privacy, publicity, intellectual property, or other rights of any person.
14. Disclaimer of warranties
We strive to provide a reliable and high-quality service. However, except as expressly set out in an Order Form or a service level agreement signed by Usermaven, the Site and Service are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Usermaven makes no warranties, either expressed or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property rights.
While we work hard to maintain service availability and security, we cannot guarantee that the Service will be available at all times or be completely free from technical issues. Like all online services, occasional interruptions or technical challenges may occur.
Attribution results, reports, and other outputs of the Service, including answers from Maven AI and other AI features, are estimates based on the data and settings available to the Service. They may be incomplete or inaccurate. You are responsible for checking them and for the decisions you make based on them. We do not guarantee any particular advertising return, revenue, or other business result. AI features may use third-party AI model providers acting on our behalf.
15. Limitation of liability
We take our responsibility to you seriously. However, to the extent permitted by law, Usermaven and its affiliates, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, goodwill, or opportunity, wasted advertising or marketing spend, or loss or corruption of data, whether direct or indirect, arising from or relating to these Terms or the Service, even if we have been advised of the possibility of such damages.
Our total liability in any matter arising from or relating to these Terms, any Order Form, the DPA, or the Service is limited to the greater of (a) USD 100 or (b) the total amount you paid for the Service during the three-month period preceding the event that gave rise to the liability.
These limitations reflect the allocation of risk between us and are an essential basis of our agreement. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Usermaven Inc. and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use of and access to the Service, (b) a breach of these Terms, or (c) your Content, including how it was collected.
17. Term, suspension, and termination
These Terms apply for as long as you access or use the Site or the Service. Each subscription lasts for its Subscription Term, including renewals, unless it is cancelled or terminated earlier.
We may suspend or terminate your right to use the Service, and terminate these Terms, immediately upon written notice to you for any breach of these Terms. We may also suspend access as described in section 8.4, or without notice where needed to prevent a security risk or harm to the Service or others. For overdue Fees, section 8.4 applies. Upon termination, your right to use the Service will immediately cease, and any Fees that are due remain payable.
For 30 days after your subscription ends, you may ask us to export your Content, and we will provide reasonable assistance. After that period, we may delete your Content, as described in the DPA.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, confidentiality, payment obligations, warranty disclaimers, indemnity, and limitations of liability.
18. Governing law and dispute resolution
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
You agree to first attempt to resolve any disputes informally by contacting Usermaven. If a dispute is not resolved within 30 days of submission, you or Usermaven may bring a formal proceeding. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
19. General provisions
- Entire agreement and order of precedence: These Terms, any Order Form, and the DPA are the entire agreement between you and Usermaven regarding the Service, and replace any earlier agreement on the same subject, except as section 9 provides for Self-Serve Subscriptions and except a separate agreement described in this paragraph. If they conflict, this order applies: (1) the Standard Contractual Clauses in the DPA, where they apply; (2) the Order Form, except that an Order Form overrides the DPA only where it expressly says so; (3) the rest of the DPA, for matters relating to personal data; and (4) these Terms. If an Order Form states that separate terms apply (for example, enterprise terms), those terms apply instead of these Terms to the extent the Order Form says. A separate written agreement for the Service that is signed by an authorized officer of Usermaven prevails where it conflicts with these Terms.
- Purchase orders: Purchase orders, vendor registrations, supplier portals, and similar documents are never a separate agreement for this purpose, and their terms have no effect, even if we sign or accept them.
- Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
- Force majeure: We are not liable for any delay or failure to perform caused by events beyond our reasonable control, such as natural disasters, epidemics, war, government action, labor disputes, or failures of third-party hosting, network, or utility providers. This does not excuse any obligation to pay Fees.
- No waiver: If we do not enforce a right under these Terms, that is not a waiver of that right.
- Links to other websites: Our Service may contain links to third-party websites or services that are not owned or controlled by Usermaven. We are not responsible for the content or practices of any third-party websites. You acknowledge and agree that Usermaven shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any such content or services.
- Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null. We may freely assign or transfer these Terms without restriction.
- Notices: Any notices or other communications provided by Usermaven under these Terms will be given by posting to the Site or by email to the address you provide. You may give notices to Usermaven by email to support@usermaven.com.
